1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether an individual or representative of an entity, “Client”, “User”, or “you”) and Resolver Vertex Base Co., Ltd. (“Company”, “we”, “us”, or “our”), registered and operating in Bangkok, Thailand.

By accessing our website at resolververtexbase.digital or entering into a statement of work, diagnostic proposal, or consulting agreement with us, you agree to comply with and be bound by these Terms.

2. Professional Consulting & Advisory Services

Resolver Vertex Base Co., Ltd. provides specialized technical consulting, in-app funnel diagnostic audits, event telemetry verification, and analytics advisory services.

1. Scope of Work: The specific scope, timeline, deliverables, and fees for any consulting engagement are established in a mutually signed Statement of Work (SOW) or formal project proposal.
2. Advisory Nature: Our deliverables represent professional technical analysis, recommendations, and diagnostic findings based on data and telemetry made available to us. Implementation of recommendations remains under the operational control and discretion of the Client.
3. Client Responsibilities: The Client agrees to provide timely access to necessary event dictionaries, documentation, and telemetry data exports required to perform the agreed audit scope.

3. Intellectual Property Rights

1. Client Data & Proprietary Systems: All confidential business data, raw telemetry logs, proprietary codebases, and trade secrets provided by the Client remain the exclusive intellectual property of the Client.
2. Deliverables & Custom Reports: Upon receipt of full payment for an engagement, the Client receives full ownership of custom diagnostic reports, remediation blueprints, and custom taxonomy dictionaries generated specifically for the Client under the applicable SOW.
3. Company Methodologies: The Company retains all right, title, and interest in its proprietary diagnostic frameworks, mathematical modeling algorithms, internal templates, and general analytical knowledge developed prior to or independently of the engagement.

4. Confidentiality & Non-Disclosure

We maintain strict non-disclosure standards regarding all client data, technical architectures, and user metrics accessed during our advisory work. We are prepared to execute bilateral Non-Disclosure Agreements (NDAs) prior to receiving access to production event streams or repository code.

5. Limitation of Liability

To the maximum extent permitted under applicable law:

1. In no event shall Resolver Vertex Base Co., Ltd. or its directors, partners, or employees be liable for any indirect, consequential, punitive, or special damages, including lost profits or business interruption.
2. Our total aggregate liability arising out of or related to any engagement shall not exceed the total professional fees actually paid by the Client to the Company under the specific Statement of Work giving rise to the claim.

6. Governing Law & Dispute Resolution

These Terms and all consulting agreements entered into with the Company shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved through good-faith negotiation, and if unresolved, through the competent courts of Bangkok, Thailand.
